Complete Management sells two million shares of common stock and $25 million of convertible subordinated debentures.


NEW YORK--(BUSINESS WIRE)--Dec. 6, 1996--Complete Management Inc. (ASE (Adaptive Server Enterprise) A relational DBMS from Sybase that runs on Windows NT/2000, Linux and a variety of Unix platforms. ASE is a comprehensive and robust data management product with a long history dating back to the late 1980s. :CMI (Computer-Managed Instruction) Using computers to organize and manage an instructional program for students. It helps create test materials, tracks the results and monitors student progress. ) announced that today a public offering by the company of two million shares of common stock at $13.75 and $25 million of 8% subordinated debentures convertible into common stock at $16.00 per share had become effective.

Interest is payable on the debentures June 15 and December 15, beginning June 15, 1997. The debentures mature Dec. 15, 2003. In addition, a non-management shareholder is selling 500,000 shares of common stock as part of the offering.

The offering is co-managed by National Securities Corp. and Commonwealth Associates. The common stock and debentures will be listed and trade on the American Stock Exchange American Stock Exchange (AMEX)
