Compass Knowledge Holdings, Inc. Comments on its Registration Statement Filings.

OCOEE, Fla.--(BUSINESS WIRE)--March 20, 2000

Compass Knowledge Holdings (OTCBB:CKNO) announced today that the letter E will temporarily be attached to the company's trading symbol later this week in accordance with Nasdaq requirements.

On February 18th the company filed its initial registration statement Form-10-SB with the Securities and Exchange Commission (SEC), containing audited financial statements in order to comply with Nasdaq requirements regarding continued listing on the Over The Counter Bulletin Board. At the time of the February filing, management was hopeful that the process would be completed and the company would be in compliance with the new NASD eligibility requirements and come to a position of "no further comment" on the Form 10-SB by April 24, 2000. The SEC responded to the filing with comments on April 10th and management responded to these comments on April 17th, 2000, and is awaiting SEC comments with respect to such filing. If for any reason the SEC's review and comments are not completed before May 17th, 2000, the Company will be de-listed from the Bulletin Board until its Form 10SB becomes effective with the SEC. Until that time, the Company's shares will be traded on the electronic "Pink Sheets".
