The SEC responded to the filing with comments on April 10th and management responded to these comments on April 17th, 2000, and is awaiting SEC comments with respect to such filing. If for any reason the SEC's review and comments are not completed before May 17th, 2000, the Company will be de-listed from the Bulletin Board until its Form 10SB becomes effective with the SEC. Until that time, the Company's shares will be traded on the electronic "Pink Sheets".
