 the following debt securities of Digital Equipment Corporation (NYSE:DEC): $250 million 7-1/8% Notes due October 15, 2002, $250 million 8-5/8% Debentures due November 1, 2012, and $250 million 7-3/4% Debentures due April 1, 2023. In connection with the cash tender offers, Compaq is soliciting consents to the adoption of amendments to the indenture An agreement declaring the benefits and obligations of two or more parties, often applicable in the context of Bankruptcy and bond trading.

The purchase price to be paid for each 7-3/4% debenture tendered will be based upon a spread of 70 basis points over the yield of a U.S. Treasury bond with a comparable maturity date. A portion of the total consideration will consist of a consent payment (in an amount in cash equal to 2% of the principal amount ($20 per $1,000 principal amount) of the securities purchased) that will only be paid for tendered securities for which consents have been validly delivered and not validly revoked at or prior to June 12. The cash tender offers will terminate on June 25.

The offer for each series of securities is subject to certain conditions, including the consummation of the acquisition of Digital by Compaq and the valid consent by holders of at least a majority in aggregate principal amount of such series of securities.
