The Complaint alleges that defendants issued a series of materially false and misleading statements that failed to disclose that defendants knew or recklessly disregarded the material facts that sales to small and medium size businesses in North America North America, third largest continent (1990 est. pop. 365,000,000), c.9,400,000 sq mi (24,346,000 sq km), the northern of the two continents of the Western Hemisphere.  and Europe had slowed in January and such slowdown would negatively effect Compaq's earnings and revenues.

During this time period, numerous officers of Compaq sold hundreds of thousands of shares of Compaq common stock in advance of the revelation of the truth.
