Community West Bancshares Announces Name Change and Reorganization for E-Commerce Subsidiary.

GOLETA, Calif.--(BUSINESS WIRE)--Nov. 22, 1999--

Lew Stone, president and chief executive officer of Community West Bancshares (Nasdaq:CWBC), today announced that its subsidiary (held by Goleta National Bank), Electronic Paycheck LLC, has reorganized as a Delaware corporation doing business under the name ePacific.com Inc. (ePacific.com).

Stone said, "These changes are designed to recognize the continued evolution of ePacific.com."

As part of the reorganization, the members of Electronic Paycheck, including the bank, exchanged their membership interests for a proportionate number of common shares of ePacific Inc., a newly formed Delaware corporation that is now the holding company for ePacific.com. ePacific.com will be the operating company for the electronic transaction processing business.

Doug King, president and CEO of ePacific.com, said: "When the company was originally formed, we were only providing payroll cards that companies could use to pay their employees. However, the company is very different today.

"Our systems, which are based on Internet Protocol, are being developed to support products in the loyalty card, network marketing, check cashing, and short-term consumer lending industries. In addition, our PINPAD.COM, for which we have applied for a patent, would allow users to make purchases over the Internet using their card and a 'virtual' pinpad.

ePacific.com is a provider of customized debit card payment systems and electronic funds transfer services. The company has developed an Internet-based transaction processing system using proprietary software that provides complete front-end to back-end electronic funds transfer processing services.

The company is focusing the marketing of its e-commerce payment services to consumer lenders, companies with nonbanked employees, network marketing organizations and loyalty reward programs. In addition, the company plans to establish a card-based payment system for Internet purchases particularly focused on teenagers, utilizing its "virtual" pinpad technology.
