), a leading provider of comprehensive medical transportation services in the New York/New Jersey metropolitan area, today announced that the Company's Registration Statement for approximately 1 million shares of Common Stock has been declared effective by the Securities and Exchange Commission.

The registered shares consist of 277,348 shares of the Company's Common Stock which are currently issued and outstanding; 575,275 shares which may be issued upon exercise of certain outstanding warrants, options and their components, at an average exercise price currently greater than the market price for the Company's Common Stock; and 153,846 shares which may be issued upon conversion of currently outstanding notes, issued in conjunction with the Company's recent acquisition of Hudson Valley
