), Seoul, Korea, pursuant to which HFG will purchase such number of newly issued shares of CWBB common stock that will represent 37.5% of the outstanding shares of CWBB immediately following the closing of the transaction. HFG will pay $21.50 per share, subject to adjustment. The proposed transaction will be subject to receipt of all necessary regulatory approvals.
