    Revenues increased by approximately 65% over the quarter ended
June 30, 1994, and gross profit increased to 14.5% of revenue
compared to 13.3% of revenue for the comparable quarter in 1994.
Both of these increases are attributable to the acquisition of the
assets of United Security Group Inc., which was completed on
February 24, 1995.
    Despite an increase in gross profit of $964,594 over the prior
year's quarter, the company sustained a loss for the quarter ended
June 30, 1995, due to high legal and professional fees related to
ongoing litigation, and increased interest expense due to higher
working capital requirements.
    William C. Vassell, chairman of the board, stated, "Although the
impact on gross profit from the United acquisition was felt
immediately, the administrative savings are being phased in, as
scheduled, and should favorably impact future periods.  With the
United transaction behind us, the company is now able to focus on
internal growth and expense controls, especially in the area of
general and administrative expense."
    Command Security Corp. provides security services through
company-owned offices in  New York, New Jersey, California,
Illinois, Connecticut, Massachusetts and Florida and provides
back-office service agreements to independent security companies
nationwide.
