ComTec Announces Restructured Management.

ENGLEWOOD, Colo.--(BUSINESS WIRE)--Oct. 14, 1997--ComTec International Inc., (NASDAQ BB:YRLS) an Englewood business engaged in the SMR wireless communications industry, announced today the resignation of its chairman of the board, Clifford Perlman.

Perlman left the company with best wishes in order to pursue personal ventures.

Simultaneously with the announcement of Perlman's exit, the company announced the formation of a new management team to join company president, Donald G. Mack. In accordance with its management plan emphasizing quality and professionalism in the company's management, the company's board of directors appointed Gordon Dihle, a recent resident of Evergreen, Colo., to replace Perlman as a director. As a part of a management restructure, Dihle assumed the role as the company's chief financial officer. Dihle, age 42, is an attorney and certified public accountant. Another new member of the management team, Mike Bunch, MBA, CPA, age 48, of Lakewood, Colo., was named as the company's new controller of accounting.

The new CFO of ComTec is an attorney, licensed in Colorado (since 1986) and North Dakota (since 1980), a Certified Public Accountant (since 1980) and a licensed real estate broker in Colorado (since 1988) and North Dakota (since 1982). Originally from North Dakota, Dihle also has extensive agricultural and real estate interests in North Dakota. From January 1991 until now, Dihle was the principal of Dihle & Co., P.C., a professional legal corporation for the practice of law and business consulting, located in Colorado and North Dakota. Dihle's practice involved the areas of public securities offerings, private placements of securities, investment banking, mortgage banking, mergers, acquisitions and taxation. Dihle was formerly Underwriter's Counsel for Tamaron Investments Inc., and General Securities Counsel for J.W. Gant & Associates Inc., both formerly of Englewood, Colo., and later, Securities Counsel for ND Holdings Inc., Minot, N.D., a regional mutual fund manager and administrator (through Investment Advisor, Broker Dealer and Stock Transfer Agency subsidiaries) of eight bond funds and one equity fund.

The new controller of accounting at ComTec, Mike Bunch, is a certified public accountant and obtained his master's of business administration from Boise State University. Originally from Oregon, Bunch worked as an accountant for 16 years with Noranda Minerals Corp. in Salmon, Idaho, Happy Camp, Calif., and most recently as assistant controller at the Noranda corporate offices in Denver.

ComTec International Inc. further announced the establishment of an advisory board to consist of persons with outstanding business and professional experience and achievements to advise and counsel the company's board of directors.

Thomas M. Booth, age 66, an engineering operations consultant, of Lakewood, Colo., and Brookings, Ore., originally of British origin, was named to the initial position on the advisory board, with other similar appointments anticipated to follow shortly. Among other accomplishments, Booth holds a U.S. Professional Engineering Registration and most recently served as consultant to Intex Corp.'s Corinth, Miss., vinyl and laminated composite sheet manufacturing plant. Intex is an international private company with factories in Laivan, China. Booth carried out a complete reorganization of department managers involving job swaps, cross training and assignment of areas of accountability.

From 1988 until 1994, Booth was vice president of operations for Wilkerson Corp., and later vice president of operations for Miller Corp. Both Wilkerson and Miller are owned by a Japanese company, CKD Corp. Wilkerson Corp. is a $30 million fluid power company specializing in the design and manufacturing of pneumatic filters, regulators and similar components extending to refrigerated air dryers. Miller Corp. is a $50 million manufacturer of industrial hydraulic and pneumatic cylinders. Booth carried out a complete overhaul of Wilkerson, including TQM self-directed work teams and certification to ISO 9001. Wilkerson was the first ISO registered company in Colorado as well as in the US fluid power industry.

From 1975 until 1986, Booth was employed by Samsonite Luggage Division, Beatrice Companies, retiring as vice president of operations. Samsonite Corp. is the world's largest manufacturer and marketer of luggage products. Booth was responsible for 2,500 employees and six director-level managers, and accountable for all manufacturing, engineering, development engineering, quality assurance, and domestic and foreign purchasing. Booth successfully developed and introduced a "Just in Time" materials system and substantially reduced product cost by changing the traditional emphasis on in-house vertical integration to use of worldwide vendor-supplied components.

From 1973 until 1975, Booth was vice president of operations and vice president of engineering of Playschool Inc., a subsidiary of Milton Bradley Corp. As vice president of operations, Booth was responsible for all manufacturing and engineering activities for three plants and accountable for 900 employees. As vice president of engineering, Booth was responsible for all engineering activities, including product design and testing, manufacturing engineering, major investments and strategic planning.

From 1963 until 1973, Booth was employed by Mattel Toy Co. As director of manufacturing engineering, Booth was responsible for specialized tooling, equipment and methods for new and problem products. As director of European Manufacturing Operations, Booth was responsible for total manufacturing and engineering operations for plants located in Germany, Switzerland, Italy and the United Kingdom. As Director of Process Engineering, Booth developed new foam doll and hot wheel production mechanization for Mattel. As Chief Liaison Engineer of European Operations, Booth established European vendor toy operations.
