) announced today that they have acquired Waldrop Enterprises, Inc., d/b/a Vision Direct Marketing. Terms of the agreement consisted of a purchase price of $2.81 million with an issuance of 2,200,000 in Convertible Preferred Shares Preferred shares

Vision Direct Marketing is a full-service direct marketing company that provides marketing and call center services for clients with high-value products and services. Through its management team, Vision Direct Marketing has over 30 years of marketing experience. The company also has a forty (40) person call center. Vision Direct Marketing is the exclusive distributor for Verbal Advantage (www.verbaladvantage.com) product line and has also acquired a 39.9% interest in the Verbal Advantage product line with an option to purchase the remaining interest.

Vision Direct Marketing achieved revenues for the calendar year 2004 of approximately $3.75 million. Vision Direct Marketing has been profitable in the past and is expected to report a profit of approximately $50,000 in the month of December and is expected to achieve a profit for the calendar year of 2005.
