Joint Development Agreement with Thermo King

Coldwall Inc. (CDWL) has entered into a Joint Development Agreement with Thermo King Corporation Thermo King Corporation is a unit of Ingersoll Rand Company Limited, and was founded in 1938. The company manufactures transport temperature control systems for a variety of mobile applications, including trailers, truck bodies, buses, shipboard containers and railway cars. . The two companies will work together with the goal of developing an advanced, economical and complete refrigeration refrigeration, process for drawing heat from substances to lower their temperature, often for purposes of preservation. PPECB PPECB Perishable Products Export Control Board  Agrees To Test Coldwall Technology

Coldwall has entered into an agreement to have a prototype container repositioned to South Africa South Africa, Afrikaans Suid-Afrika, officially Republic of South Africa, republic (2005 est. pop. 44,344,000), 471,442 sq mi (1,221,037 sq km), S Africa.  for testing by the Perishable Product Export Control Board (PPECB). The PPECB has requested the opportunity to run trials to evaluate the Coldwall technology. The PPECB is engaged in activities to help South African perishable product exporters find ways to reduce product loss. Coldwall Agreement with the SEC

As previously announced, on January 30, 2006, the Board of Directors authorized the company to enter into a settlement with the Securities and Exchange Commission (SEC) that, if agreed to by the SEC, would result in the revocation of the registration of its common stock under the Securities Exchange Act of 1934. The settlement, if implemented, will relieve the company of any future obligation to file periodic reports under the '34 Act. Under the '34 Act, the revocation, if ordered by the SEC, prohibits members of any national securities exchange, brokers or dealers from effecting any transaction in the company's common stock. The SEC has yet to publish any action.

Coldwall Announces Resignation of Directors

Jasper Dahl and Jeffrey Rush have resigned as directors of Coldwall, Inc. (CDWL) during the first quarter of 2006.
