Series "L" shareholders approved the non-cancellation of the 98,684,857 Series "L" shares (equivalent to approximately 9.86 million KOF ADRs) issued by resolution of the General Extraordinary Meeting carried out on December 20, 2002, thereby making these shares available to our Board of Directors. These shares were not subscribed by the Series "L" holders in the exercise of their pre-emptive rights at the price set by the General Extraordinary Meeting of U.S.$ 2.216 per share. These shares will be available to our Board of Directors for issuance in connection with future transactions and on terms and conditions determined by our Board of Directors at an issuance price of no less than U.S.$ 2.216 per share or its equivalent in Mexican currency. |
