), the leading tobacco company for the UK market, today announces that its acquisition of 41.13 percent of the issued share capital of Austria Tabak Aktiengesellschaft ("Austria Tabak") from Osterreichische Industrieholding Aktiengesellschaft ("OIAG OIAG Osterreichische Industrieholding AG (German: Austrian Privatization Agency) "), for a cash consideration of Euro 769 million, has completed.

Under Austrian takeover law, and in conjunction with Austria Tabak's articles of association, Gallaher is now deemed to have acquired a controlling shareholding in Austria Tabak and is required to launch an unconditional cash offer for the remaining issued share capital of Austria Tabak. It is envisaged that this offer will be launched shortly.

Following today's closing, the resignation of all the existing elected members of Austria Tabak's Supervisory Board, with the exception of Dr. Prebil, representing the retail shareholders, became effective. At the Austria Tabak Supervisory Board meeting held following closing today, Peter Wilson and Nigel Northridge were elected Chairman and Deputy Chairman of the Austria Tabak Supervisory Board respectively. In addition, Rudolf Wagner, currently a General Manager of Austria Tabak, and Nigel Simon, a director of Gallaher, were appointed to the Austria Tabak Management Board with effect from October 1 and November 1, 2001 respectively. Heinz Schiendl remains a member of the Management Board.
