The advance notice provision requires that any shareholder proposals intended to be presented at any Fund shareholder meeting, including director nominations, must be provided to the Fund at least 60 days prior to the meeting. The shareholder's notice must set forth various items, including a brief description of the business to be brought before the meeting, information concerning the shareholder, including any "material interest" between such shareholder and any other person in connection with the proposal, a representation that such shareholder intends to appear in person or by proxy to bring such business before the meeting and certain other information.
