Included in these non-recurring charges for the 1999 fiscal year are charges related to the Company's write-down of raw materials for Clearly Canadian's redesigned core brand, Clearly Canadian(R) sparkling flavoured water, which will be re-launched in 2000.

The Company estimates that the write-downs for the 1999 fiscal year will total approximately $5.6 million, and will consist of:

- non-cash charges related to the Company's write-down of raw

material inventories for certain discontinued product lines;

- adjustments to long term receivables and distribution rights;

- charges associated with the relinquishment of leased premises;

and

- charges associated with a reduction in senior management

positions.

Although these non-recurring charges will have an impact on Clearly Canadian's 1999 fiscal year end financial results, the Company expects these charges will reduce expenses in 2000 and beyond.
