Clean Energy Files for IPO.

SEAL BEACH, Calif. -- Clean Energy Fuels Corp., which provides natural gas fuels for vehicle fleets in the United States and Canada, announced that on September 6, 2006, it filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission relating to a proposed initial public offering of its common stock. The offered shares will be sold by Clean Energy and certain stockholders of the company.

W.R. Hambrecht + Co., LLC will act as the sole book-running manager for the offering and Simmons & Company International will act as co-lead manager. The public offering price and allocation of shares will be determined primarily by the OpenIPO auction process of W.R. Hambrecht + Co.
