Classic Golf Signs Acquisition Agreement With Indexonly Technologies, Inc.

) announced Wednesday that it has signed an Acquisition Agreement with Indexonly Technologies, Inc. (and the Commercial Directory: INDEXONLY.com). Shareholder approval of the Agreement will be sought at the annual meeting of Classic Golf Corp's shareholders, scheduled on Aug. 30, 1999.

At the meeting, shareholders will act on the following matters:

1) Approval of the Acquisition of Indexonly Technologies, Inc. The

Company, subsequent to a reverse stock split, will tender

20,150,000 treasury shares to Indexonly shareholders in exchange

for their shares of Indexonly, contingent upon Adj. 1. contingent upon - determined by conditions or circumstances that follow; "arms sales contingent on the approval of congress"

 the terms of a

Stock Acquisition Agreement which has been previously ratified by

management.

2) Approval of the Amendment of the Company's Articles of

Incorporation, to change the name of the Company from Classic

Golf Corporation to Indexonly Technologies, Inc.;

3) Election of three directors;

4) Ratification The confirmation or adoption of an act that has already been performed.
