Class action suit filed against Insignia Solutions PLC and its officers and directors alleging misrepresentations, false financial statements and insider trading.


SAN DIEGO--(BUSINESS WIRE)--March 24, 1997--A class action has been commenced in the United States District Court for the Northern District of California The United States District Court for the Northern District of California is the Federal district court whose jurisdiction comprises following counties: Alameda, Contra Costa, Del Norte, Humboldt, Lake, Marin, Mendocino, Monterey, Napa, San Benito, San Francisco, San Mateo, Santa  on behalf of all purchasers of Insignia Solutions PLC ("Insignia") American Depository Shares ("ADS") during the period November 14, 1995 to February 26, 1997 ("Class Period").

The complaint charges Insignia and certain of its officers and directors with violations of the federal securities laws. The violations involved massive insider trading by defendants who had access to the true but undisclosed adverse information about Insignia. During the Class Period, and as part of the scheme, the alleged defendants collectively sold 3.6 million ADSs to the public at an artificially inflated price of $12 per share, including some $20 million of ADSs sold by Insignia insiders. Thereafter, the defendants are alleged to have artificially inflated the price of Insignia's ADSs by making false and misleading statements to securities analysts and others and by falsifying fal·si·fy
