The complaint names as defendants the retail brokerage firm of Sterling Foster and Co. Inc. ("Sterling Foster"), as well as Sterling Foster's alleged controlling shareholder, Adam R. Lieberman ("Lieberman").

The complaint charges defendants with violation of Section 10(b) of the Exchange Act and Lieberman with violation of Section 20(a) of the Exchange Act in connection with, among other things, their underwriting of an initial public offering ("IPO (Initial Public Offering) The first time a company offers shares of stock to the public. While not a computer term per se, many founders, employees and insiders of computer companies have found this acronym more exciting than any tech term they ever heard. ") and their manipulation of the price of Advanced Voice stock.

Specifically, the complaint charges that defendants, prior to the IPO, secured contracts between themselves and certain Advanced Voice shareholders to purchase all or large portions of those shareholders' Advanced Voice stockholdings at prices well below the IPO's asking price, took "short" selling positions in Advanced Voice, and then "covered" their short positions with the shares of stock they had previously agreed to purchase.
