The complaint alleges that the defendants issued materially false and misleading statements due to improper accounting practices in connection with certain acquisitions the Company made during the Class Period. Defendants took these improper charges and writeoffs in order to boost Tyco's future operating results. As a result of these misrepresentations and omissions, the price of Tyco's common stock was artificially inflated throughout the Class Period. Tyco insiders took advantage of this run-up in Tyco's share price to sell over 1.5 million of their own shares to the investing public and realize proceeds of over $170 million.

Plaintiff seeks to recover damages on behalf of all those who purchased or otherwise acquired Tyco common stock during the Class Period.
