The complaint alleges that defendants violated the federal securities laws, including Sections 10(b) and 20 of the Securities Exchange Act of 1934, as amended, by making false and misleading statements in press releases, filings with the Securities and Exchange Commission, including the Joint Proxy Statement concerning, among other things, the Company's business, financial condition, earnings and prospects of Newell Rubbermaid. Specifically, the Complaint alleges that the Company failed to disclose the adverse impact deep price discounts offered by Rubbermaid salespeople to customers would have on the earnings of Newell Rubbermaid.
