Citizens Utilities to acquire Ogden Telephone Company.


STAMFORD, Conn--(BUSINESS WIRE)--Feb. 4, 1997--Citizens Utilities Company (NYSE NYSE

: CZNA, CZNB) announced today that it has entered into a definitive agreement to acquire Ogden Telephone Company. Upon completion of the transaction, Ogden Telephone Company will be operated as part of Citizens Telecom.

Leonard Tow, Citizens' chairman and chief executive officer, said, "This acquisition provides important new opportunities for the customers, employees and shareholders of both companies." Ogden's service areas in suburban Rochester, located near Citizens' existing New York New York, state, United States
New York, Middle Atlantic state of the United States. It is bordered by Vermont, Massachusetts, Connecticut, and the Atlantic Ocean (E), New Jersey and Pennsylvania (S), Lakes Erie and Ontario and the Canadian province of
 operations, serve approximately 20,000 customers.

Maxine Davison, chairman of Ogden Telephone Company, added, "We look forward to being a part of Citizens and to sharing in its exciting plans for the future. We believe that Ogden Telephone Company will be a valuable addition to the Citizens family and benefit our employees and customers."
