Citigroup: Statement Regarding Disclosure of CEO's 2002 Compensation.

: C) filed a Statement of Changes in Beneficial Ownership on Form 4 in connection with the granting of an option covering 1.5 million shares with the U.S. Securities and Exchange Commission on behalf of Sandy Weill, Chairman and Chief Executive Officer.

In connection with the Citigroup Board's Personnel and Compensation Committee consideration of bonuses for 2002, Mr. Weill informed the Committee that, given the decline in shareholder value for the year, he would not accept any bonus for 2002 performance. The Committee accepted his decision and did not award any cash or stock to Mr. Weill for 2002.
