Cirrus Health Partners with Fresno Surgery Center.

TROPHY CLUB, Texas -- Cirrus Health, a premier healthcare development and management company, and Fresno Surgery Center jointly announced today that Cirrus Health has purchased FSC Health's ownership interest in Fresno Surgery Center. Cirrus Health will join existing and new physicians in the ongoing development and management of Fresno Surgery Center to continue delivering quality surgical care to the surrounding region. The physical structures have been purchased by sister company, The Cirrus Group, effective March 31, 2006.

The new partnership with Cirrus Health reinforces strategic recommendations guided by partnering physicians to complete innovative expansion projects currently underway. These expansions will better serve the regions growing population, support the clinical excellence that Fresno Surgery Center is known for, and better serve area physicians and their patients with the highest standards of care and service in the marketplace. The following expansion projects to be completed under Cirrus Health and physician ownership management include:

--  Expanding the facility to accommodate the growing market
        demand for inpatient surgeries by:

        --  Adding 11 new private patient suites to enhance
            operational efficiency and improve scheduling flexibility

        --  Adding 3 new operating rooms

        --  Expanding the patient recovery area

        --  Improving facilities for spine intervention services

        --  Expanding the kitchen

        --  Expanding equipment processing and materials resources

        --  Enlarging all support areas

        --  Enhancing hospitality features throughout the facility

        --  All to be completed by late 2006

    --  Expanding the level of inpatient care and scope of services
        for physicians by:

        --  Adding 24/7 intensivist coverage

        --  Expanding patient admitting definitions

        --  Operational expansions in this area began in 2004 and will
            continue to be enhanced throughout 2006

    --  Expanding the name to Fresno Surgical Hospital (FSH) to:

        --  Better signify the broader range of the company as a
            California licensed general acute care hospital, with
            accreditation by JCAHO signifying that FSH has met
            national standards for healthcare quality and safety, and
            offering multi-specialty surgeries with greater inpatient
            capacity to surgeons and the community

Fresno Surgery Center provides a full range of multi-specialty inpatient and outpatient services, including orthopedics, gynecology, general surgery, neurosurgery, plastic surgery, urology, podiatry, ear, nose and throat surgery, anesthesiology and pain management, laparoscopic bladder surgery, gastric bypass surgery for obesity and total joint replacement surgery, as well as other medical services.

Fresno Surgery Center is located at 6125 N. Fresno Street. With approximately 6,000 surgeries performed annually, a high nurse-to-patient ratio, patient confidence and satisfaction is the highest priority at FSC. The current 34,000 square foot facility will expand to a total of 50,000 square feet by year-end 2006, with a total of 8 state-of-the-art operating rooms and 31 spacious, private overnight rooms. The medical staff's more than 200 surgeons represent virtually every specialty except cardiac surgery.
