 and the Phoenix International Life Sciences (Phoenix) Directors Circular regarding MDS's proposed acquisition of Phoenix, have been mailed to Phoenix shareholders.

The Boards of both MDS and Phoenix International confirm that they view the proposed deal as an excellent fit between two complementary operations, and the Phoenix Board is recommending that Phoenix shareholders accept the offer and deposit their shares under the offer.

Phoenix shareholders are urged to read the Circulars. The MDS offer to Phoenix shareholders expires at 12:01 a.m. (local time) on April 1, 2000.
