Cipher Holding Corp. to Change Its Name to ``IMAGIN Molecular Corporation''.

OAK BROOK, Ill. -- Cipher begins implementation of its Strategy to become a factor in PET Molecular Imaging. Cipher Holding Corp. ("Cipher")(OTCBB:CIHR) announces the approval by majority consent of its shareholders to change its name to "IMAGIN Molecular Corporation" (IMAGIN).

As previously announced, Cipher will exchange 30 million of its shares for IMAGIN Diagnostic Centres, Inc. preferred shares. These preferred shares are convertible into a series of Positron Corporation (OTCBB:POSC) notes, which if converted would yield Cipher 64 million common shares of Positron Corporation. This 64 million common share position represents a control position of Positron.

Cipher is aware that IMAGIN Diagnostic Centres, Inc. intends to distribute and register for trading in Canada new IMAGIN Molecular Corporation common shares to its over 600 Canadian accredited investor-status shareholders. The new IMAGIN Molecular Corporation common shares will be distributed as it relates to the guidelines and rules of the Securities Exchange Commission under Regulation S, a distribution to foreign holders. It is anticipated that trading will commence on a Canadian stock exchange subject to approval of filings with Canadian Securities agencies and/or applications to the Canadian Stock Exchange Boards.
