The complaint charges defendants with issuing a series of material misrepresentations to the market during the Class Period in violation of sections 10(b) and 20(a) of the Exchange Act, and Rule 10b-5. Among other things, the complaint alleges that during the Class Period: (i) defendants created the appearance of profitability and success by, among other things, failing to properly accrue expenses, particularly with regard to its Texas operations; (ii) defendants failed to disclose that the Company's margins were being eroded by a mix-shift tied to lower margin grocery items, freight costs, higher dairy costs, and a higher mark-down and shrink provision (up to $10 million); (iii) the defendants knowingly tolerated weak internal controls; (iv) the Company's inventory was artificially inflated by the inclusion of assets such as deli products on its books, despite the fact that those assets were inedible; (v) the Company's Southern California Southern California, also colloquially known as SoCal, is the southern portion of the U.S. state of California. Centered on the cities of Los Angeles and San Diego, Southern California is home to nearly 24 million people and is the nation's second most populated region,  distribution center was in shambles; (vi) the Company's workers' compensation workers' compensation, payment by employers for some part of the cost of injuries, or in some cases of occupational diseases, received by employees in the course of their work.  problems were far from over, and defendants knew that their expenses associated with these problems were increasing, not declining; and (vii) as a result of the above, the Company was not on track to achieve EPS (Encapsulated PostScript) A PostScript file format used to transfer a graphic image between applications and platforms. EPS files contain PostScript code as well as an optional preview image in TIFF, WMF, PICT or EPSI, the latter being an ASCII-only format.  for Q2 04 of $0.19-$0.20.

Any member of the class who desires to be appointed lead plaintiff in the class action must file a motion with the Court no later than August 16, 2004 on their own or through counsel of their own choice.
