) is pleased to announce that it has completed the following private placements:

1. 2,727,272 common shares were issued at a price of 11 cents per common share. The shares were purchased by Chinese investors and have a hold period expiring on May 21, 2003.

2. 1,000,000 common shares were issued at a price of 11 cents per share Cents per share

The amount of a mutual fund's dividend or capital gains distributions that a shareholder will receive for each share owned.
 to a company associated with the President of the company, Ronald Shon. The shares are subject to a hold period, which expires on May 27, 2003.

3. 200,000 common shares were issued to settle an outstanding debt. The 200,000 common shares are subject to a hold period, which expires on May 21, 2003.

4. 2,500,000 common shares were issued to settle an outstanding debt of $275,000. These shares were issued at 11 cents per share and have a hold period expiring on May 27, 2003.
