China Education Resources Inc. Announces Completion of Private Placement and Gives Update on Education Platform.

) today announced the completion of a private placement for proceeds of $597,733. The private placement resulted in the issuance of 1,048,655 common shares at $0.57 per common share and 524,327 warrants. The common shares are subject to a 4 month hold. Each warrant entitles the holder to acquire one common share for a period of 2 years at an exercise price of $1.14 per common share.

Ronald Shon, President, said "We are delighted to close this private placement. A portion of the proceeds will be used to further develop the Hainan Hainan (hī`nän`), island and province (1994 est. pop. 6,910,000), c.13,100 sq mi (33,940 sq km), China, in the South China Sea. The province, created in 1988, is coextensive with Hainan Island; Haikou is its capital, largest city, and major  Provincial section of our education resources platform which can be accessed at www.cersp.com. As previously reported on July 27, 2004, our agreement with Hainan is a very important one for the company. It designates our platform as the exclusive source of digital educational content from the Province. It is currently being tested free of charge in Hainan. Our plan is to start charging in September, 2005.

Our first objective is to reach agreements with the various Provincial Education Commissions to have the platform designated as the exclusive source of digital educational information from the Province. Our second objective is to become the only source of certain types of important educational content much like we have done with the mandatory technical course, mentioned in the July 27, 2004 press release. Our plan is to do the same thing with a number of additional mandatory courses.

The market reaction to the platform has been very good. Since September, 2004, there have been in excess of 10,000 unique visits to the website on a daily basis. There are in excess of 40,000 articles of educational content provided by and uploaded by teachers, students and administrators. ) convened meetings in Beijing and Hainan, endorsing the platform and more specifically, promoting its use as an effective tool to help teachers teach the new technical course. As a result, a further meeting will be held in March to which representatives from a number of Provinces have been invited. The purpose of the meeting is to discuss ways to more effectively use the platform to teach the technical course as well as certain other courses which will become mandatory.

The endorsement by the MOE will significantly add to the credibility of the platform and should aid us in our plan to sign contracts with other Provinces."
