CHICAGO -- Chicago Growth Partners today announced the signing of a definitive agreement to sell 100% of its interest in eInstruction Corporation to Leeds Equity Partners - the first deal to be executed between the two leading private equity investors in the education sector.

As student outcomes continue to receive increased national scrutiny as a result of the No Child Left Behind Act The No Child Left Behind Act of 2001 (Public Law 107-110), commonly known as NCLB (IPA: /ˈnɪkəlbiː/), is a United States federal law that was passed in the House of Representatives on May 23, 2001  and teachers become more accustomed to incorporating technology in their daily classroom lessons, eInstruction has emerged as the dominant player in the interactive response system and content-based assessment sector of the education marketplace. The Company has achieved enormous popularity among teachers and administrators alike due largely to the fact that it improves classroom efficiency - changing the face of education, without changing the way teachers teach.

CGP's investment in eInstruction will yield a return of approximately 4.2x invested capital and an internal rate of return of 112%. The sale marks the end of a very successful investment for CGP CGP CommuniGate Pro (messaging e-mail server)

EBITDA became popular in the 1980s to show the potential profitability of leveraged buyouts, but has become  dramatically and emerged as the dominant player in the interactive response system and content-based assessment sector of the education marketplace. eInstruction was the first investment made by CGP, L.P. one year and ten months ago, and will be the first exit out of the eleven investments made so far in the fund. This exit represents a return of approximately 28% of the fund's total called capital to date.

"eInstruction is an excellent example of CGP's core investment philosophy to partner with rapidly growing companies and create value through enhanced execution, support in marketing and systems, and selective accretive add-on acquisitions," stated CGP Managing Partner Rob Healy.

CGP worked closely with the Company on several value-added initiatives during its ownership. First, the Company added seasoned executives Ron Davies Ron Davies or Ronald Davies can refer to

Second, the highly strategic acquisition of FSCreations, Inc. significantly enhanced eInstruction's value proposition, bringing together the dominant provider of response systems and testing/assessment software, two of the highest demand products in education. Finally, the Company benefited significantly from CGP's value-add capabilities in the marketing and technology arenas.
