Chelsea Property Group Completes Offering of 1.2 Million Shares of Common Stock.

) last night completed a public offering of 1,200,000 shares of its common stock at a price of $42.10 per share.

Merrill Lynch & Co. acted as sole underwriter for the offering. Net proceeds of approximately $49.5 million before offering expenses will be used to repay unsecured bank borrowings associated with the Company's purchase of The Crossings Factory Stores, completed yesterday.

The shares will be issued pursuant to an effective shelf registration statement that was previously filed with the Securities and Exchange Commission. This news release shall not constitute an offer to sell or the solicitation of an offer to buy, nor shall there be any sale of these securities in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities law of such state.
