Charys Holding Company Sets Closing Date for Cotton Companies Acquisition; Scheduled Cash and Stock Down-Payments Issued as Key Milestones are Achieved.

Integration Team Finalizes Planning for Launch of "New Cotton" with C&B Services

ATLANTA -- Charys Holding Company, Inc. ("Charys") (OTC Bulletin Board: CHYS) announced today that Cotton Companies ("Cotton"), pursuant to the acquisition agreement between Charys and Cotton dated as of September 1, 2006, has received cash and stock down payments in conjunction with the terms of the acquisition, and has set a closing date of October 20, 2006. Charys issued 400,000 shares of restricted stock, and $500,000 in cash in meeting its obligations for additional down payment funding.

Charys will create C&B Holding Company and integrate together Cotton and Charys' current restoration company, Crochet and Borel Services, Inc. ("C&B"). Cotton will survive as the international branding and operating entity and will be one of the largest companies of its kind in the world.

"We have numerous pending projects on the construction side as well as the remediation side of our core business, which will commence within the next few weeks. A pre-close Integration Plan is implemented and headed by Todd Wommack, Vice President of C&B and Randall Thompson, Vice President of Cotton. "The two entities were able to align themselves for a rapid post close integration by successfully launching an operational timeline that prepared plans for communication, infrastructure, speed, stability and synergy. A rapid integration team and plan have been identified and are ready to move forward upon closing," stated Mr. Bell.
