) today announced that the Company has filed a post-effective amendment to its Registration Statement on Form S-11 (SEC File No. 333-111919) covering the resale of certain common shares that may be issued upon the conversion of certain Community Reinvestment Act Community Reinvestment Act (CRA)

Enacted by Congress in 1977, the CRA encourages banks to help meet the credit needs of their communities for housing and other purposes, particularly in neighborhoods with low or moderate incomes, while maintaining safe and sound operations.

The post-effective amendment relates only to the registration of common shares underlying convertible securities that have previously been registered and does not otherwise register new common shares. CharterMac filed the post-effective amendment in order to convert its previously filed Registration Statement on Form S-11 to a Registration Statement on Form S-3, the shorter form of registration statement available to certain seasoned issuers. The filing of the amendment was authorized by the Securities and Exchange Commission in response to a request by CharterMac that it be permitted to utilize the shorter form.
