The transaction is subject to negotiation and execution of a definitive merger agreement, third-party consents and approvals and several other conditions. The transaction with Java Centrale is also subject to the existing agreement between Chart House and Foodquest Inc., which gives Foodquest the right to buy Paradise Bakery on Dec. 29. 1995, but only if Foodquest notifies Chart House of its ability to close before Java Centrale and Chart House execute a binding definitive agreement. There is no assurance that Chart House and Java Centrale will reach a definitive agreement. Chart House Enterprises operates 88 restaurants, including 65 Chart Houses, 15 Islands, seven Paradise Bakeries and one Peohe's. The company's franchisees operate an additional 44 Paradise Bakeries.
