) is pleased to announce the election to its Board of Directors of Mr. Phillip P. Gennarelli.

Mr. Gennarelli will also hold the new position of President of Charger Energy International, a soon to be incorporated 75 percent owned subsidiary of Charger. Mr. Gennarelli will control the other 25 percent of Charger Energy International.

Charger Energy International will focus on international exploration and production, pipelines and electrical power generation development.

Mr. Gennarelli's election expands Charger's Board to five members, effective August 1, 1999.

In addition, Charger announces that its shareholders have approved, at the company's annual shareholder meeting which was held on July 9, 1999, a change in the company's name to Charger Energy Inc. to better reflect the company's mission of becoming a leading international energy company.

Charger is excited at the prospect of expanding Charger's investment portfolio into international projects.

Over the past several months, Charger has identified several international opportunities and welcomes Mr. Gennarelli's election to the Board.

Mr. Gennarelli's operational and development experience in domestic and international markets will provide Charger with expanded management along with a well balanced downstream From the provider to the customer.
