Chardan China Acquisition Corp. and State Harvest Holdings Limited Schedule Special Meeting of Shareholders.

SAN DIEGO & BEIJING -- Chardan China Acquisition Corp. (OTCBB: CAQC, CAQCU, CAQCW) ("Chardan") and privately-held State Harvest Holdings Limited announced today that a special meeting of Chardan's shareholders has been scheduled for 10:00 am Eastern Standard Time on Friday, October 28, 2005 at Chardan's corporate headquarters, located at 625 Broadway, Suite 1111, San Diego, CA, relating to the merger of Chardan and State Harvest Holdings Limited. Chardan's definitive proxy statement relating to this merger will be mailed on or about September 29, 2005 to shareholders of record as of September 23, 2005.

Chardan shareholders will be asked to approve the previously disclosed Stock Purchase Agreement dated as of December 20, 2004, the Redomestication Merger, and the Chardan 2005 Performance Equity Plan.

If the acquisition is approved, subsequent to the closing, State Harvest Holdings Limited will change its name to Origin Agritech Limited ("Origin"), each share of common stock of Chardan will automatically convert into one share of common stock of Origin, and each outstanding warrant of Chardan will be assumed by Origin with the same terms, but exercisable for common stock of Origin.

Chardan has applied for listing on the Nasdaq National Market under the proposed symbols SEED, SEEDW, and SEEDU. Chardan anticipates approval of the listing will be effective simultaneous with the closing.

Chardan was organized to effect a business combination with an operating business that is based in China. Chardan entered into a agreement with State Harvest Holdings Limited by which it will acquire State Harvest and obtain control of State Harvest's four operating companies in the Peoples Republic of China.
