Cerprobe Corp. reports S-4 filing with Securities and Exchange Commission.


TEMPE, Ariz.--(BUSINESS WIRE)--Nov. 8, 1996--Cerprobe Corp. (NASDAQ/NMS:CRPB CRPB Conflict Resolution and Peace Building ) Friday announced that it has filed a Form S-4 with the Securities and Exchange Commission registering 400,000 shares of common stock to be used in connection with its pending acquisition of CompuRoute Inc.

In the filing, the company disclosed that it expects to take a one-time charge to fourth quarter earnings of approximately $4.6 million related to purchased in-process research and development and other expenses associated with the acquisition. The acquisition is expected to be completed prior to the conclusion of the quarter, which ends Dec. 31, 1996.
