) today announced the early termination, effective March 8, 2002, of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act The Hart-Scott-Rodino Antitrust Improvements Act of 1976 (Public Law 94-435, known commonly as the HSR Act) is a set of amendments to the antitrust laws of the United States, principally the Clayton Antitrust Act. The HSR Act was signed into law by President Gerald R.  of 1976 with regard to the pending acquisition by Centrica of NewPower.

As previously announced, Centrica and NewPower have entered into a merger agreement pursuant to which an indirect wholly owned subsidiary Wholly Owned Subsidiary

A subsidiary whose parent company owns 100% of its common stock.

Notes:
In other words, the parent company owns the company outright and there are no minority owners.
 of Centrica, Windsor Acquisition Corporation, commenced on March 1, 2002 an all-cash tender offer for all of NewPower's outstanding common stock at a price of $1.05 per share, subject to possible adjustment in accordance with the merger agreement.
