("Rhino") to acquire 100% ownership of Rhino through a cash and share-for-share exchange with the Rhino shareholders. Rhino Films is an independent motion picture company in the business of developing and production of full-length feature films for the domestic US markets and foreign distribution. Rhino currently has a "first look" agreement with Warner Bros BROS Brothers BROS Benefits and Retirement Operations Section (King County, Washington) BROS Barnes and Richmond Operatic Society (London, UK) ., with a focus in films with commercial appeal in the $2.5 to $15 million budget range. The company currently produces several feature films a year, with a specific interest in biographical films, parody and "spoof" films, popular cultural and culturally significant films, and, lately, "remakes" and documentaries. Stephen Nemeth, the prolific producer who heads the company, will continue in that position. Centiv, in anticipation of completing the acquisition, also announced plans to re-incorporate in Nevada and to change its name to better reflect its new direction and business plan to grow through acquisitions of established multimedia companies. The company is targeting independent film producers and distributors, established niche television programming firms, other entertainment-related advertising and publishing companies, and film libraries where it can utilize its new name to re-brand or re-make certain of the library products. Subject to the completion of the acquisition of Rhino, Centiv indicated that it will re-brand and rename Re`name´ v. t. 1. To give a new name to. In addition to the planned acquisition of Rhino Films Inc., Centiv is currently negotiating on several other acquisitions, which Centiv plans to complete in the near future, in conjunction with the June 4, 2004 announcement of its agreement in principle to enter into a financing arrangement with the London based Investment Bank. The company is also attempting to renew its arrangement with CITIC CITIC China International Trust and Investment Corporation Cultural to maintain a major stake in the China-based advertising business recently acquired from Eagle Treasure Ltd.
