Prior to this acquisition, Centigram owned a total of 1,075,000 Special Warrants of InfoInterActive, with each Special Warrant exercisable into one common share of InfoInterActive and one-half of a share purchase warrant ("Warrant") of InfoInterActive.

Each whole Warrant is exercisable for one common share of InfoInterActive at a price of $3.00 (Canadian) per share, expiring March 3, 2001. Upon exercise of the Special Warrants, Centigram will own 1,075,000 common shares of InfoInterActive as well as 537,500 Warrants which will entitle Centigram to acquire an additional 537,500 common shares of InfoInterActive for a total of 1,612,500 common shares, which, when added to the additional 400,000 common shares which have been acquired, would total 2,012,500 common shares. Such 2,012,500 common shares of InfoInterActive would comprise approximately 12.6% of the total issued and outstanding common shares of InfoInterActive (after giving effect to the additional common shares of InfoInterActive issuable on exercise of all outstanding Special Warrants of InfoInterActive).

Centigram has acquired the shares of InfoInterActive for investment purposes and it has no present intention of increasing its ownership in InfoInterActive.
