Centene Corporation Announces Definitive Agreement to Purchase FirstGuard.

) announced today that it has signed a definitive agreement with Swope Community Enterprises to purchase two health plan entities serving 136,000 members. FirstGuard Inc.'s subsidiary, FirstGuard Health Plan Kansas, serves over 94,000 Medicaid and CHIP members throughout the state of Kansas, and FirstGuard Health Plan, Inc. serves 42,000 Medicaid members in Missouri (collectively, FirstGuard). This agreement marks Centene's entry into two additional Medicaid mandated states.

This acquisition is subject to regulatory approvals and other closing conditions. Under the terms of the agreement, Centene will pay approximately $93 million in cash for all of the issued and outstanding capital stock of FirstGuard. The consideration will be sourced from a combination of cash and Centene's $100 million revolving credit agreement Revolving credit agreement

FirstGuard Health Plan Kansas competes with the State's Primary Care Case Management program. Its service area includes 62 of the State's 105 counties. FirstGuard Health Plan Kansas is also the exclusive provider of the State's CHIP program serving 100% of the CHIP members statewide. In Missouri, FirstGuard Health Plan participates in the Western Region of the State, predominantly in the Kansas City Kansas City, two adjacent cities of the same name, one (1990 pop. 149,767), seat of Wyandotte co., NE Kansas (inc. 1859), the other (1990 pop. 435,146), Clay, Jackson, and Platte counties, NW Mo.
