Celtron International in Definitive Agreement to Acquire MineWorX International Pty Ltd.

Celtron International, Inc. (OTCBB:CLTR) announced today that Orbtech Holdings Ltd., Celtron's South African subsidiary, has concluded its negotiations and signed a definitive agreement for the acquisition of MineWorX International (Pty) Ltd. ("MineWorX").

The acquisition agreement was signed on May 8, 2003, whereby Orbtech Holdings acquired all the shares, assets and business of MineWorX. The agreement includes a profit guarantee by MineWorX and will contribute to the profitability of the Celtron International group.

MineWorX is positioned as a Mobile Technology Solution Provider specializing in mobile and harsh environments. MineWorX is considered to be a thought leader in Mobile Technology in Africa. MineWorX defines "mobile" to be everything that is accessed via technology that is not on a desktop computer or mainframe terminal. This definition would include Internet browsing via PDA and WAP, PDA applications and other mobile devices across GSM, SMS, GPRS and RF communication protocols.

MineWorX has strong Middle Ware and application integration skills. This has been one of the critical success factors for stable solution development and a competitive advantage for MineWorX. Oracle 6i, Microsoft.NET, VB, ASP, C, C++ and SQL are MineWorX's primary development and integration skills. MineWorX has integrated solutions into Maximo, Smallworld, SAP, Oracle and other applications.

MineWorX aims to become an international player in this market within the next 12 months through aggressive regional partner representation and a marketing strategy that will provide us with a cost-effective international base within a relatively short timeframe. This will also be achieved through selective marketing to local customers who either have an international base or infrastructure and through customers who are willing to use our technology and support us in expanding internationally. MineWorX is the Mobile Development partner for Xmediaries Technologies, based in the U.A.E.; Maximo; and Symbol Technologies.

Applications developed by MineWorX specifically for the mobile environment complete the cycle," said Mr. Harington.

The MineWorX acquisition also brings an extensive corporate client base to the table and includes companies such as Mustek, Wesbank, Anglo Platinum, Global Technologies, Sappi Fine Papers, Group 5/Everite, Dimension Data, Achievement Awards, Coltron/Eskom, Nutri Way, Westcon/DataTech, MST/Maximo, Central Flying Academy and various other companies in the gold mining, financial and retail sectors.

To further enhance the group's growth strategies, Mr. Harington will hand over his position as Managing Director of Celtron's South African subsidiary, Orbtech Holdings Ltd., to Mr. Ron Pienaar.

Ron Pienaar was born in October 1960 in Port Elizabeth, South Africa.

He joined the SA Railways Police in 1977, where he was seconded to the CSIR to conduct classified research. During this period he enrolled at UNISA and completed a BA degree.

He started his first venture, Aquarius Personnel Consultants, toward the end of 1982. In 1985, the Silver Corp Group acquired his company and he fulfilled the role of Human Resources manager and was Managing Director of 4 of the group subsidiaries, including National film distributors, SCL Waste Collectors and SA Souvenirs.

In 1989, an International Management Consultancy Group, Doctus, based in the U.K., approached him to provide expertise in Organizational Development and process consulting. Working with Byrne Fleming, he completed projects with Western Deep levels, Pep Stores nationally, the repositioning of the Ackermans Group, Epol, 15 year Free Gold strategic plan and other national groups. In November 1993, he was headhunted by Kresta Hague International to head up the Retail consulting division in Europe. During this period, he completed business improvement projects with Guardian Royal Exchange in London and the head office in Ipswich, Martins Retail Group in the U.K. and RS McCall in Scotland, as well as the Your-More-Store Group. During this period, he completed his NLP (Neuro linguistic Programming) training to Masters Level, including Indirect Hypnosis.

After returning to South Africa at the end of 1994, he was appointed Vice President, Marketing, for Johnson Harvey International, a management consultancy group focused in the mining industry.

During 1995, he was headhunted to join Oracle Corporation, where he headed the Business Consulting and Change Management division as Practice director for the ECE-MEA region (East Central Europe, Middle East and Africa). He was on the Oracle Global Business Consulting Committee of 5 and a managing member of the Oracle Global Change Management Board. He was instrumental in the design and development of an organizational change management assessment tool and methodology in conjunction with Stanford University in California during 1997. He was responsible for global projects, such as the Continental Grain Company, based out of Geneva and operating across the globe, the pharmaceutical e-business solution implemented for government in Ukraine, Hungarian Railways systems implementation, Edgars, Bateman Group and the Sanlam HR system development, to mention a few.

In May 1998, he established Ornet Solutions as a subsidiary of MB Technologies Limited and was the major shareholder until the group acquired the company in 2001. Having identified the opportunities for IT and, more particularly, mobile technology during his management consulting, he established MineWorX International in October 2000 to take advantage of the emerging mobile technologies market.
