Celtron International Delays Form 10KSB Due To Substantial Growth From Recent Restructurings.

MIDRAND, South Africa -- Celtron International Inc. (OTCBB:CLTR) announced today that it will delay the filing of its annual report on Form 10KSB for the fiscal year ended December 31, 2004. It expects to complete the filing within the next 15-30 days.

During the 2004 financial year Celtron, through its subsidiary Orbtech Holdings made several acquisitions and implemented a restructuring plan. "This resulted in a very complicated and intensive audit for the financial year end, resulting in this late filing," said Mr. Allen Harington, Chairman and CEO of Celtron International. "Based on the phenomenal growth expected for 2005 and beyond, we appointed a larger and more corporate orientated auditing firm in March 2004," added Mr. Harington.

"We wish to apologize to the shareholders for any inconvenience this late filing may cause, but we are comfortable that the restructuring and appointment of the Auditors will be of great benefit to the future of the group," Mr. Harington concluded.
