CellStar announced on May 21, 1996 that it had entered into a non-binding letter of intent to sell the Communications Center business.

CellStar said that the 355 full-service Communications Centers would be sold for an undisclosed amount in a transaction scheduled to close by the end of CellStar's fourth quarter.

Under the terms of the agreement, MCI will purchase the assets of the Communications Center operations, assume certain contracts used in connection with the operations and retain substantially all of the employees. CellStar said that it will also sign a distribution agreement with MCI to supply MCI with cellular phones and accessories for the Communications Center retail operations.

CellStar said that the proceeds from the sale would be used to reduce its bank debt and for general working capital purposes.
