) announced today that it has requested a hearing before a Nasdaq Listing Qualifications Panel to appeal Nasdaq's earlier decision to delist delist

Cell Pathways received notification from Nasdaq that the Company's common stock would be delisted from the Nasdaq National Market because the Company's common stock price fell below Nasdaq's minimum bid price requirements. Specifically, the bid price of the Company's common stock closed at less than $1.00 per share for 30 consecutive trading days In Business, the trading day is the time span that a particular stock exchange is open. For example, the New York Stock Exchange is, as of 2006, open from 09:30AM to 4:00PM. Trading days never take place on weekends.  and thereby failed to comply with Marketplace Rule 4450(a)(5). After initial notification from Nasdaq on October 17, 2002, the bid price of the Company's common stock did not regain compliance in accordance with Marketplace Rule (4450)(e)(2) during the 90-day period ending January 15, 2003.

In the event that Cell Pathways' does not regain its Nasdaq National Market listing on this appeal, the Company intends to apply to transfer its common stock to the Nasdaq SmallCap Market. Although there can be no assurance that it will do so, if Nasdaq approves the transfer to its SmallCap Market, shares of Cell Pathways common stock would maintain their existing ticker symbol Ticker Symbol
