CeleXx Corporation Completes Computer Marketplace Acquisition.

CeleXx Corporation (OTCBB:CLXX), www.celexx.com, announced today that it has completed the acquisition of Computer Marketplace, Inc., (CMI), based in Tewksbury, Massachusetts. CMI was founded in 1983 and provides high-end network solutions, systems engineering, and computer telephony solutions to Fortune 500 companies and other clients in the United States and abroad. Earlier this year, CMI established a presence in Canada, to expand its markets and better service the systems solutions, integration and telephony requirements of a growing number of International clients, including Bell Canada (Nasdaq:BCICF). Presently, plans are underway to establish a presence in all CeleXx locations in the US and abroad. This seamless integration supports the CeleXx mission to provide end-to-end "Corporate Support Solutions."

CMI revenues and operating profits grew 60% from approximately $10 million in fiscal 1997 to $16 million (unaudited) in fiscal 1999, with EBITDA of approximately $1 million.

The international business of CMI includes exporting high-end, brand name servers with vertical market software and providing integration to Cystelcom, S.L., in Madrid, Spain. CMI has partnered with Cystelcom to provide premier call routing / CTI (Computer Telephony Integration) solutions to their national marketplace. Cystelcom is a Madrid-based distributor of Cisco (Nasdaq:CSCO) Intelligent Call Management software. Cystelcom distributes Cisco software products throughout Spain. CMI integrates Cisco Intelligent Call Management software in the U.S.

CMI is the cornerstone of the CeleXx Integrated Solutions Group. In a straightforward manner they deliver network solutions and customized design by developing an optimal plan in a consultative process with the client to assess their requirements. Ongoing compatibility testing, the creation and delivery of training, support and other transitional tools augment the process.

CeleXx Integrated Solutions Group provides solutions to a diverse group of clients. Recently the Group entered into a comprehensive agreement to provide E-Pawn (OTCBB:EPWN) with a wide range of services including server technology, web hosting, network solutions and engineering in support of E-Pawn's global expansion into business-to-business E-commerce. The Group also announced that it was expanding its business with Sodexho Marriott Services (NYSE:SDH) delivering LAN/WAN equipment and solutions to this food services giant.
