Cebridge Agrees to Purchase Systems from Tele-Media, USA Media; Six Agreements in Past Year Place Company on Expansion Fast-Track.

Cebridge Connections has signed two new agreements to acquire additional cable customers. Under one agreement, the company will acquire, from Tele-Media Corporation (www.tele-media.com), approximately 19,000 customers in Kentucky, North Carolina, Tennessee, Virginia, and West Virginia. Under the other agreement, Cebridge will acquire, from USA Media Group, LLC (www.usamedia.tv), approximately 41,000 customers in California, Idaho, Nevada, Oregon, and Washington.

Daniels & Associates, industry-leading specialists for media and telecommunications mergers and acquisitions, represented both USA Media and Tele-Media in their transactions with Cebridge. Terms were not disclosed.

Both acquisitions are expected to close by mid-year, at which point Cebridge will serve approximately 495,000 customers in 23 states - including the previously announced agreement to acquire nearly 13,000 customers from Thompson Cablevision. (The Thompson agreement is expected to close in May.)

Cebridge Connections was formed last year after Oaktree Capital Management, LLC, partnered with Cequel III, LLC, in February 2003, to assume leadership of the post-bankruptcy assets of Classic Communications, Inc., and later to acquire several suburban Houston cable systems from Shaw Communications, Inc. In January this year, the companies closed on the acquisition of approximately 78,000 customers from Alliance Communications Partners, LP.

Cebridge Connections provides basic and digital cable television, high-speed Internet access, and home security services. Today, its 422,000 business and residential customers live and work in a mix of smaller cities and robust, growing suburban communities.
