Case Financial, Inc. Appoints New Board of Directors.

SHERMAN OAKS, Calif. -- Case Financial, Inc. (OTCBB:CSEF) announced today that at a Board of Directors meeting held October 7, 2004, the Board appointed the following new directors -- Michael A. Schaffer, William J. Rapaglia, Lawrence C. Schaffer and Waddy Stephensen -- in place of Clifford R. Evans, John Irvine and William Polly. Also resigning at that meeting was director Harvey Bibicoff.

The new Board intends to conduct a full investigation of the finances of the Company over the past several years, take whatever actions it deems appropriate, and move ultimately in a new business direction.
