Last year's reversal of Oregon earnings sharing accrued in fiscal 2004, combined with estimated sharing for this year reduced margins by $1.0 million. Other Items

The Company previously announced its declaration of a regular quarterly cash dividend of $0.24 per common share, payable August 15 to shareholders of record at July 31, 2006.

On July 9, 2006, the Company issued a joint News Release announcing that the Company had entered into a definitive merger agreement with MDU (1) (Multiple Dwelling Unit) A commercial or residential building with multiple offices or apartments. See BLEC.

Management is expecting earnings for fiscal year 2006 to be in the range of $1.12 to $1.16. Our outlook assumes average weather for the rest of the fiscal year and excludes fourth quarter costs related to the pending merger.
