, will be offering for sale to the public 10.8 million shares of the Company's common stock pursuant to a Prospectus Supplement to be filed today as part of the Company's universal shelf registration statement on Form S-3 filed with the Securities and Exchange Commission on May 23, 2003, as amended on July 15 and July 16, 2003.

The selling stockholders will also grant the underwriters a 30-day option to the purchase of additional shares to cover over-allotments, if any, in an amount of up to 15% of the shares sold in the offering.
